These Terms of Service ("Terms") are a legal agreement between you and Leadar, Inc. ("Leadar", "we", "us") governing access to and use of the Leadar website, application, and related services at leadar-ai.com (collectively, the "Service"). By creating an account, connecting channels, or otherwise using the Service, you agree to these Terms and our Privacy Policy.
1. Acceptance
You must be at least 18 years old and have authority to bind your organization. If you do not agree to these Terms, do not use the Service.
If you use the Service on behalf of a company or other legal entity, you represent that you have authority to accept these Terms on its behalf. "You" and "Customer" refer to that entity and its authorized users.
2. The Service
Leadar provides a business-to-business software platform that may include map-based lead discovery, CRM, AI-assisted content generation, campaign tools, email configuration, and WhatsApp Business integration via Meta's Cloud API.
We may modify, suspend, or discontinue features with reasonable notice where practicable. Beta or preview features may be offered as-is and may change or end at any time.
3. Accounts and security
You must provide accurate registration information and keep credentials secure. You are responsible for all activity under your organization account.
You must promptly notify us at legal@leadar-ai.com of any unauthorized access. We may suspend or terminate accounts that violate these Terms or pose security or legal risk.
4. Subscriptions and fees
Paid plans, quotas (such as Search Leads and AI Messages), and billing terms are described on our pricing page and in your subscription order. Fees are billed in advance unless stated otherwise and are non-refundable except where required by law or explicitly stated in writing.
Failure to pay may result in suspension or downgrade. Taxes are your responsibility unless we are required to collect them.
5. WhatsApp and Meta
If you connect WhatsApp through Meta Embedded Signup, you authorize Leadar to act as your technical integration partner and to access your WhatsApp Business Account, phone numbers, templates, and messaging capabilities through Meta's APIs solely to provide the Service.
You remain responsible for your WhatsApp Business Account, compliance with Meta Platform Terms, WhatsApp Business Messaging Policy, and applicable messaging laws (including consent and opt-out). Conversation and template fees charged by Meta are billed directly to your WhatsApp Business Account, not by Leadar.
You must not use Leadar to send spam, unlawful content, or messages to contacts without appropriate permission. You may disconnect WhatsApp at any time in Settings → Channels.
6. Acceptable use
You agree not to: (a) violate any law or third-party rights; (b) upload malware or attempt to disrupt the Service; (c) scrape, reverse engineer, or circumvent usage limits except as permitted by law; (d) use the Service to harass, defame, or send unsolicited bulk messages; (e) misrepresent your identity or affiliation; (f) use the Service for consumer-facing purposes outside a legitimate B2B sales or customer-support context without our written approval; or (g) resell or sublicense the Service except as expressly allowed.
We may investigate violations and remove content, suspend features, or terminate access.
7. AI-generated content
AI features may produce drafts, scores, or replies based on your inputs and knowledge base. You are solely responsible for reviewing, editing, and approving content before sending it to prospects or customers.
AI output may be inaccurate or incomplete. Leadar does not guarantee that AI-generated content will be lawful, non-infringing, or suitable for your use case.
8. Your data
You retain ownership of data you submit to the Service, including CRM records, contact lists, and message content. You grant Leadar a limited license to host, process, and display that data only to provide and improve the Service, as described in our Privacy Policy.
You represent that you have all rights and consents needed to upload and process personal data and to message contacts through connected channels.
9. Intellectual property
Leadar and its licensors own the Service, software, branding, and documentation. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service during your subscription.
Feedback you provide may be used by us without restriction or compensation.
10. Third-party services
The Service integrates with third parties such as Meta, Stripe, cloud providers, map data vendors, and AI providers. Your use of those services is subject to their terms. Leadar is not responsible for third-party outages, pricing changes, or policy enforcement by Meta or other providers.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee specific business results, lead quality, message delivery, or inbox placement.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADAR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO LEADAR FOR THE SERVICE IN THAT PERIOD, OR USD $100 IF YOU USE A FREE OR TRIAL PLAN. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.
13. Indemnification
You will defend, indemnify, and hold harmless Leadar and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content or messages, your violation of these Terms, or your violation of applicable law or third-party rights (including Meta or WhatsApp policies).
14. Term and termination
These Terms remain in effect while you use the Service. You may stop using the Service and cancel your subscription according to your plan terms.
We may suspend or terminate access for material breach, non-payment, legal requirement, or risk to the Service. Upon termination, your right to use the Service ends. Provisions that by nature should survive (including payment obligations, disclaimers, liability limits, and indemnity) will survive.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except where mandatory consumer protection laws in your jurisdiction apply.
Disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there, unless applicable law requires otherwise.
16. Changes and contact
We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. Material changes may be notified through the Service or by email. Continued use after changes become effective constitutes acceptance.
